By limiting our project load, we dedicate ourselves to the pursuit of "invisible luxury"—creating seamless experiences that feel like a natural extension of thought. SCOPE & BOUTIQUE SERVICE
Downhill operates as a boutique creative studio. Each project is a unique digital craft. The scope of work is strictly defined in the project proposal. Any services or assets requested outside this scope are subject to additional fees and schedule adjustments.
INTELLECTUAL PROPERTY & OWNERSHIP
Transfer of Rights: Full ownership of the final customized design is transferred to the Client only upon receipt of the final payment in full. Studio Credit: Downhill retains the right to showcase the work, including process sketches and case studies, for promotional purposes unless a non-disclosure agreement (NDA) is signed. Unused Concepts: All preliminary designs, rejected concepts, and original source files remain the exclusive property of Downhill.
VISUAL ASSETS, IMAGERY & PLACEHOLDERS (LEGAL PROTECTION)
Placeholder Status: The Client acknowledges that any and all imagery, photographs, or graphics provided within the design are for conceptual and placeholder purposes only. Downhill does not grant, transfer, or imply any ownership or commercial usage rights for these third-party visual assets. Licensing Responsibility: The Client is solely and absolutely responsible for acquiring the necessary licenses for any third-party materials (images, fonts, videos, graphics) before the project goes live or is used commercially. Indemnification: The Client agrees to indemnify and hold Downhill harmless from any claims, damages, or legal fees arising from the unauthorized use or copyright infringement of third-party assets displayed on the website or deliverables. Downhill shall not be liable for the Client’s failure to secure proper licensing.
TEMPLATE-BASED EXECUTION
Non-Exclusive Frameworks: Downhill utilizes high-end industry templates and frameworks (e.g., Framer, Webflow) as a structural foundation. The Client acknowledges that while the brand-specific design is unique, the underlying technical framework is non-exclusive and may be used by other parties. Platform Liability: Downhill is not responsible for technical bugs, downtime, or limitations caused by third-party hosting or design platforms.
PAYMENT & CANCELLATION
Deposit: A non-refundable commencement fee of 50% is required to secure the project in our studio’s workflow. Late Fees: Payments delayed beyond 14 days will incur a 5% monthly interest charge. Termination: If the project is terminated by the Client, the initial deposit is retained as a kill fee, and all work completed up to that point will be invoiced.
REVISIONS & FINAL APPROVAL
Included Refinements: Projects include two (2) rounds of minor refinements. Structural changes after the strategy phase are subject to additional billing. Final Sign-off: Once the Client provides final approval for launch, Downhill is not liable for any content errors, licensing issues, or technical glitches discovered thereafter.
LIMITATION OF LIABILITY
To the maximum extent permitted by law, Downhill’s total liability for any claim shall not exceed the total amount paid by the Client for the specific project. We are not liable for any indirect or consequential damages.
